How to Register an LLC in India: A Complete Step-by-Step Guide

Starting a business in India is an exciting journey, but choosing the right business structure is the first critical decision. Step 1: Obtain Digital Signature Certificate (DSC)

Step 2: Apply for Director Identification Number (DIN)

Every proposed director must have a DIN. You can apply for DIN through the SPICe+ form on the MCA portal.

Step 3: Name Reservation via RUN

Use the Reserve Unique Name (RUN) service on the MCA portal to check availability and reserve your company name. The name must comply with the Companies Act, 2013 naming guidelines.

Step 4: File SPICe+ Form

The Simplified Proforma for Incorporating Company Electronically Plus (SPICe+) is an integrated form that covers company incorporation, DIN allotment, PAN, TAN, GSTIN, EPFO, ESIC, and bank account opening in one go.

Step 5: Draft MOA and AOA

The Memorandum of Association (MOA) defines the company's objectives, while the Articles of Association (AOA) governs internal management. These must be filed along with SPICe+.

Step 6: Certificate of Incorporation

Once the ROC verifies all documents, a Certificate of Incorporation (COI) is issued with the Company Identification Number (CIN). Your company is now legally registered.
